2 General
These Terms and Conditions apply to all offers, orders, agreements and transactions between you and us. By placing an order you accept these Terms and Conditions. We may update them at any time; the version in force at the time of your order applies.
3 Prices and Payment
- •Prices are as shown on our website at the time of ordering and include Dutch VAT where applicable.
- •We reserve the right to change prices before a binding Contract is concluded.
- •Payment must be received in full before we dispatch the Goods.
- •We accept the payment methods listed on our website. We may refuse any order or payment method at our discretion.
4 Shipping and Delivery
- •Delivery times are estimates only. We are not liable for delays caused by carriers or circumstances beyond our reasonable control.
- •Risk in the Goods passes to you upon delivery to the address you provided (or to the carrier if you arrange collection).
- •You must inspect the Goods immediately upon receipt. Any visible damage or shortages must be reported to us in writing within 7 days, together with photos. Failure to do so may affect your rights.
5 Returns and Right of Withdrawal (Cooling-off Period)
For consumers in the EU only (this section does not apply to businesses):
- •You have the statutory right to withdraw from the Contract within 14 calendar days without giving any reason. The period starts the day after you (or a third party you designate) receive the Goods.
- •To exercise this right you must notify us clearly (e.g. by email to info@siglent.eu) before the 14-day period expires. The burden of proof that you exercised the right in time rests with you.
- •You must return the Goods to us without undue delay and in any event within 14 days of notifying us of withdrawal.
- •Condition of returned Goods: Goods must be returned in their original condition, with all original packaging, tags, labels, accessories, manuals and documentation intact. You may only handle and inspect the Goods to the same extent as you would be permitted to do in a physical store.
- •Diminished value: You are liable for any reduction in value of the Goods caused by handling beyond what is necessary to establish their nature, characteristics and functioning. Examples include (but are not limited to): using the Goods, installing/calibrating them, removing/damaging tags or packaging, or any alterations that prevent resale as new. We will inspect returned Goods upon receipt. Our assessment of diminished value is final (subject to clear contrary evidence from you), and we will deduct a reasonable amount from the refund.
- •You bear the direct cost of returning the Goods. We recommend using tracked and insured shipping. Risk during return remains with you.
- •We will refund you (including standard delivery costs) within 14 days of receiving the returned Goods or proof that they have been sent back.
- •Exceptions – The right of withdrawal does not apply to personalised goods, sealed hygiene items once unsealed, software/audio/video in unsealed packaging, perishable goods, or other cases under Article 16 of Directive 2011/83/EU.
- •We reserve the right to refuse returns or issue only partial refunds in cases of fraud, repeated abuse, or non-compliance.
6 Reselling and Distribution
- •You are not permitted to resell, redistribute, export or otherwise transfer the Goods to any third party without our prior written consent.
- •Any unauthorised reselling constitutes a material breach. We may immediately terminate your account, cancel ongoing Contracts, claim full damages (including lost profits), and pursue claims for trademark infringement or unfair competition.
- •This clause survives termination of the Contract.
7 Export Control, Sanctions and Restricted Countries
You warrant that neither you nor the end recipient is subject to sanctions or located in a sanctioned country. You shall comply with all applicable export control and sanctions laws. We may refuse any order that risks breaching these rules. You agree to indemnify us against any resulting losses, fines or costs.
8 Intellectual Property
All trademarks, trade names (including “Siglent.eu” and “Siglent”), logos, designs, manuals and other IP remain our property or that of our licensors. You may not use them without prior written consent.
9 Product Safety and User Responsibility
The Goods are professional test and measurement equipment. You must ensure they are used only by qualified persons in accordance with the manual and safety instructions. We are not liable for damage or injury resulting from misuse, negligence, or use by unqualified persons. If you are not the end user, you must pass on these instructions.
10 Warranty
All SIGLENT-branded Goods carry the manufacturer’s warranty as detailed in the product documentation (generally 3 years on main instruments and 1 year on accessories/batteries). We act as facilitator; the primary warranty responsibility lies with the manufacturer. Warranty claims must be handled per the manufacturer’s terms. The warranty is void in cases of misuse, unauthorised repair, incorrect power supply, or use outside specified conditions.
11 Limitation of Liability and Indemnification
- •To the maximum extent permitted by law, our total aggregate liability shall not exceed the price paid for the specific Goods giving rise to the claim.
- •We are not liable for indirect, consequential, punitive or exemplary damages (including loss of profit, data or goodwill).
- •Nothing excludes liability for death/personal injury caused by our negligence, fraud, or other non-excludable liability.
- •You agree to indemnify and hold us harmless from any claims, losses, costs or expenses arising from your breach of these Terms, misuse of the Goods, resale/export activities, or third-party claims related to your use.
12 Force Majeure
We are not liable for delays or failures caused by events beyond our reasonable control (including pandemics, strikes, supply chain issues, government actions, or natural disasters).
13 Data Protection
We process personal data in accordance with our Privacy Policy and the GDPR.
